Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of www.novastacksystems.com (the "Site") and any services provided by NovaStack Systems ("we", "us", "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms.

2. Services

NovaStack Systems is a software engineering studio providing services including (but not limited to) SaaS development, AI development, Shopify development, WordPress development, Bubble.io no-code development, mobile and web application development, UI/UX design, and cloud infrastructure setup. The scope, timeline, and price of each engagement are defined in a separate Statement of Work or service agreement.

3. Engagement & payment

Project engagements begin with a free discovery call. Once scope and timeline are agreed, a Statement of Work is signed and an initial milestone payment is invoiced.

Payment terms are net-7 unless otherwise specified. We accept bank transfers and major payment processors. Late payments accrue interest at 1.5% per month, the maximum permitted by law, or fall under collection — whichever is lower.

4. Intellectual property

Upon full payment of all invoices for a given project, the client owns 100% of the deliverable code, designs, and assets produced specifically for that project.

We retain ownership of: (a) any pre-existing tools, libraries, or boilerplate code we use across projects; (b) our general know-how, methodologies, and process documentation; and (c) work created prior to client engagement. We grant clients a perpetual, royalty-free licence to use these in the context of their delivered product.

5. Confidentiality

We treat all client information as confidential and will not disclose it to third parties without consent. We are happy to sign mutual NDAs prior to discussing project specifics. Confidentiality survives termination of any engagement.

6. Warranties & disclaimers

We warrant that services will be performed with reasonable care and skill consistent with industry standards. We do not warrant that the services or any deliverables will be error-free or uninterrupted. To the maximum extent permitted by law, we disclaim all implied warranties including fitness for a particular purpose and merchantability.

7. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to these Terms or our services shall not exceed the fees paid by the client for the specific project giving rise to the claim. In no event shall we be liable for indirect, consequential, incidental, or punitive damages including lost profits or lost data.

8. Indemnification

Clients agree to indemnify and hold NovaStack Systems harmless from claims arising out of (a) client-supplied content infringing third-party rights, (b) client misuse of deliverables, and (c) breach of these Terms by client.

9. Termination

Either party may terminate an engagement upon material breach by the other party that remains uncured after 14 days' written notice. Upon termination, client pays for work completed up to the termination date. We will hand over all deliverables, source code, and documentation completed to date.

10. Force majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government action, internet outages, or pandemic-related restrictions.

11. Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Disputes arising from these Terms or our services will first be addressed through good-faith negotiation; if unresolved, parties agree to binding arbitration before litigation.

12. Acceptable use of the Site

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms.
• Attempt to gain unauthorized access to any part of the Site or its systems.
• Use automated tools to scrape, crawl, or harvest content without permission.
• Reverse-engineer, decompile, or attempt to extract source code of the Site.
• Impersonate any person or misrepresent your affiliation with any entity.

13. Modifications

We may modify these Terms at any time. Continued use of the Site after changes constitutes acceptance. Material changes will be highlighted at the top of this page.
